**STAGE GEAR HARDWARE RENTALS — CERTIFICATE OF INSURANCE REQUIREMENTS** This page sets out the Certificate of Insurance (COI) requirements that must be satisfied by customers who elect the COI protection option for a Stage Gear equipment rental. These requirements are established by Broadway Media Distribution, Inc. ("BMD") to protect both the company and the customer and are a condition of equipment shipment. Please read this page carefully before requesting a COI from your insurer. **Before you contact your insurer:** Share this entire page with your school's business office, district risk manager, or insurance agent. They will need the specific language and certificate holder information in Section 3 to prepare a compliant COI. COIs that do not include the exact required language will be rejected and your rental may be delayed or canceled. ## Section 1 — Who Needs to Submit a COI A COI is required if you have elected the Certificate of Insurance as your protection plan option on the Damage Waiver Election Form. The COI option is available at no additional fee to customers whose existing insurance policy meets BMD's requirements. It is most commonly used by school districts, government agencies, nonprofits, and professional organizations that carry general liability and equipment coverage as part of their regular risk management program. You do not need to submit a COI if you have elected the Damage Waiver or the Security Deposit as your protection plan. The COI option is not available to uninsured individuals. If your organization does not carry qualifying insurance coverage, you must elect the Damage Waiver or Security Deposit instead. BMD cannot approve a COI that does not meet all minimum coverage requirements regardless of circumstances. ## Section 2 — Minimum Coverage Requirements Your COI must evidence all three of the following coverage types. A COI that satisfies only some of these requirements will not be approved. | Coverage Type | Minimum Required | Status | | --- | --- | --- | | Commercial General Liability | $1,000,000 per occurrence / $2,000,000 aggregate. See acceptable policy forms below. | Required | | Lost Rental Revenue | Customer's weekly rental rate × minimum 4 weeks / maximum 12 weeks. Covers BMD's lost income if Equipment is destroyed and unavailable for re-rental. | Required | ### 2.1 Acceptable Property / Equipment Policy Forms The equipment / property coverage requirement may be satisfied by any of the following policy types. BMD does not require a specific policy form as long as the policy covers the full MSRP replacement value of the rented Equipment for theft, loss, or physical damage: - All Risk Policy - Entertainment Package - Inland Marine Coverage - Hired-In Equipment - Business Personal Property of Others - Third Party Property - Rented / Leased Equipment Coverage If you are unsure whether your existing policy qualifies, share the policy type and limits with your insurance agent and ask them to confirm that the policy covers the full replacement cost of rented audio-visual equipment in your care, custody, and control. ### 2.2 Deductibles If your policy includes a deductible, that deductible is your organization's responsibility. BMD will invoice for the full repair or replacement cost of damaged Equipment regardless of your policy's deductible. You are responsible for paying BMD's invoice and then seeking reimbursement from your insurer for the amount above your deductible. ### 2.3 Lost Rental Revenue — Why It Is Required When Equipment is destroyed or rendered permanently unrentable during a customer's rental, BMD loses its ability to generate rental income from that unit while sourcing and preparing a replacement — a process that typically takes four to twelve weeks. This lost income is a real commercial harm to BMD and must be covered by the customer's insurance. The lost rental revenue requirement is calculated as: your weekly rental rate (as stated on your Order Form) multiplied by a minimum of four (4) weeks and a maximum of twelve (12) weeks. Your insurer may satisfy this requirement through a business interruption endorsement, rental income coverage, or other equivalent coverage form as long as the coverage amount meets the minimum calculation. ## Section 3 — Required Certificate Language Your COI must include the following language exactly as written. BMD's COI review team checks for these specific endorsements word for word. COIs that omit or paraphrase this language will be rejected. **Description of Operations / Additional Remarks box:** > "Broadway Media Distribution, Inc. dba Broadway Media is an additional insured on a primary and noncontributory basis with respect to general liability. Waiver of Subrogation is granted in favor of Broadway Media Distribution, Inc. dba Broadway Media with respect to general liability and workers' compensation. Broadway Media Distribution, Inc. dba Broadway Media is loss payee as it relates to rented/leased equipment." **Certificate Holder box:** > Broadway Media Distribution, Inc. > 105 W 86th Street, #218 > New York, NY 10024 ### 3.1 What Each Endorsement Means | Endorsement | What It Means and Why It Is Required | | --- | --- | | Additional Insured — Primary and Noncontributory | BMD is added to your policy as an insured party on a primary basis, meaning your policy pays first in the event of a claim — before any policy BMD may carry. This protects BMD from having to use its own insurance for damages caused during your rental. | | Waiver of Subrogation | Your insurer waives its right to sue BMD to recover amounts your insurer pays out on a claim. Without this waiver, your insurer could pay a claim and then attempt to recover the money from BMD — creating liability for BMD even after a claim is paid. | | Loss Payee — Rented / Leased Equipment | BMD is designated as the party to receive insurance proceeds for any loss, theft, or damage to the rented Equipment. This ensures that if a property claim is paid, the money goes to BMD (the owner of the Equipment) rather than to your organization (the renter). | | Certificate Holder Box | The certificate holder box identifies who the COI was issued to. It must show BMD's full legal name and address exactly as stated. This is how BMD confirms the certificate was issued for BMD's benefit. | ## Section 4 — Submission Process and Deadlines ### 4.1 How to Submit Upload your COI as a PDF at checkout. Should you have trouble, you may email hello@broadwaymedia.com. Include your Order Number or Agreement Number in the subject line of the email. If you do not yet have an Order Number, include your organization name and your expected rental start date. ### 4.2 Submission Deadline Your COI must be submitted and approved before your Equipment's scheduled ship date. Equipment will not ship until your COI has been reviewed and approved by BMD. We target COI review completion within two (2) Business Days of receiving a complete and compliant submission. Plan ahead — if your COI requires revisions, you may need to go back to your insurer, which takes additional time. No refunds will be issued for rental fees if your shipment is delayed or canceled because your COI was submitted late or contained deficiencies. If a late submission requires BMD to use expedited shipping to meet your required delivery date, you are responsible for the additional shipping costs. ### 4.3 Review Timeline After receiving your COI, BMD's team will: - Verify coverage types and minimum limits - Confirm the additional insured and loss payee endorsements are present and correctly worded - Verify the certificate holder box matches BMD's required address - Confirm the policy expiration date covers your full Rental Term If your COI is approved, you will receive a confirmation email. If it requires changes, we will notify you of the specific deficiencies so you can work with your insurer to correct them. ### 4.4 Common Reasons for Rejection | Deficiency | How to Fix It | | --- | --- | | Missing additional insured endorsement | Ask your agent to add BMD as an additional insured on a primary and noncontributory basis and reissue the certificate. | | Missing waiver of subrogation | Request that your agent add a waiver of subrogation endorsement in favor of BMD and reissue. | | Missing loss payee designation | Ask your agent to list BMD as loss payee on the equipment / property coverage section. | | Certificate holder box is incorrect or incomplete | The box must read exactly: Broadway Media Distribution, Inc., 105 W 86th Street, #218, New York, NY 10024. | | Policy expires before Return Due Date | Request a certificate that covers your full Rental Term, or a renewal certificate that bridges the gap. | | Equipment coverage limits too low | Coverage must equal the full MSRP replacement value of all Equipment on your order. Ask your agent to confirm the limit is sufficient. | | General liability limits below minimum | Must be at least $1,000,000 per occurrence and $2,000,000 aggregate. | | Missing lost rental revenue coverage | Ask your agent whether your policy includes a business interruption or rental income endorsement that would cover BMD's lost rental income. | ## Section 5 — COI Validity and Mid-Rental Coverage Lapse ### 5.1 Coverage Must Span the Full Rental Term Your COI must be valid — and your underlying insurance policy must be in force — from the day your Equipment ships through the Return Due Date (the day you drop Equipment off at UPS). BMD checks policy expiration dates during review. COIs that expire before the Return Due Date will not be approved. ### 5.2 Rental Extensions If you extend your rental term after your COI has been approved, you must notify BMD immediately and provide a renewed or updated COI covering the extended Return Due Date. Equipment may not remain in your possession beyond the date covered by your approved COI without updated coverage in place. ### 5.3 Coverage Lapse Mid-Rental If your insurance lapses or is canceled during your Rental Term: - You must notify BMD immediately by contacting hello@broadwaymedia.com. - You must provide a renewed COI within five (5) Business Days. - If renewed coverage cannot be provided, BMD may require you to pay the Security Deposit for the remaining Rental Term, or may treat the lapse as a breach of your Rental Agreement. BMD strongly recommends confirming your policy expiration date with your insurer before submitting your COI to avoid mid-rental coverage issues. ## Section 6 — How Damage Is Handled Under the COI Option ### 6.1 You Pay BMD First If Equipment is damaged during your rental and you have elected the COI option, BMD will invoice you directly for the full cost of repair or replacement as determined by the Return Inspection. Your obligation to pay BMD's invoice is not contingent on your insurance carrier accepting or paying a claim. ### 6.2 Then File With Your Insurer After receiving BMD's invoice, you should: - Contact your insurance carrier to initiate a claim - Provide your carrier with BMD's Pre-Shipment Inspection documentation, Return Inspection report, photographs, and invoice - Follow your carrier's claims process and timeline for reimbursement BMD will provide you with all documentation needed to support your claim. BMD does not communicate directly with your insurance carrier, does not file claims on your behalf, and does not manage the claims process. ### 6.3 Your Deductible Is Your Responsibility If your policy has a deductible, you are responsible for paying that deductible out of pocket. BMD will not reduce its invoice based on your deductible amount. Your insurer will reimburse you for amounts above your deductible after the claim is processed. ### 6.4 Theft Under COI If Equipment is stolen while in your possession, you are responsible for the full MSRP replacement value. You should: - File a police report immediately and provide BMD with a copy - Notify BMD in writing as soon as possible - Contact your insurance carrier to initiate a theft claim BMD will invoice you for the full MSRP replacement value. Theft coverage depends on your specific policy — confirm with your agent whether your equipment policy covers theft in the rental context. ## Section 7 — Self-Certification Checklist Before submitting your COI, use this checklist to confirm it meets BMD's requirements. Submission of a COI does not guarantee approval; BMD reviews each COI for compliance with all requirements on this page.
